The Traxión tender offer is now live. Pantera Holdings, linked to executive president Aby Lijtszain Chernizky, opened its bid for the Mexican trucking group on Tuesday 22 September 2026.

It offers 13.18 pesos (about US$0.76) a share in cash for up to all outstanding shares. The total could reach 7,148.6 million pesos (about US$415 million), according to the offer notice reported by the outlet El CEO.

A bidder with a name

Lijtszain first disclosed his plan on 14 September, saying only that a company in which he is a shareholder would bid. That company is Pantera Holdings.

Mexico’s securities regulator, the National Banking and Securities Commission (CNBV), authorised the offer on Monday 21 September. The offer opened the following morning.

Lijtszain co-founded Traxión in 2011 with the private-equity fund Discovery Americas, according to Bloomberg Línea. He is the group’s executive president, according to its investor website.

The board itself is chaired by Bernardo Lijtszain Bimstein. The chief executive is Rodolfo Mercado Franco.

The price and the premium

The notice covers up to 542,382,858 Series A shares. Multiplied by the offer price, that gives the ceiling of 7,148.6 million pesos (about US$415 million).

The price is 20.4% above the volume-weighted average close over the 60 sessions before the plan was announced. That average was 10.95 pesos (about US$0.64), a gap of 2.23 pesos (about US$0.13) a share.

Against the close of 10.90 pesos (about US$0.63) on 14 September, the premium is 20.9%. The shares rose 15% early the next morning, Bloomberg Línea reported, and El CEO later put the gain above 18%.

Peso figures here are converted at a rate of 17.24 to the US dollar. That is the Bloomberg quote El CEO reported on the morning of 22 September 2026.

The timetable

The offer runs until Tuesday 20 October 2026 and can be extended. The purchase is due to be registered on the Bolsa Mexicana de Valores (BMV), the Mexico City stock exchange, on 21 October.

Settlement is scheduled for Friday 23 October. Before approval, Bloomberg Línea had reported a provisional window of 17 September to about 19 October.

Traxión’s board of directors has until the tenth business day after the launch to give its opinion on the price. It must also disclose any conflicts of interest among its members.

Will Traxión leave the stock exchange

Traxión says the offer is not meant to take it off the exchange. Since 15 September it has said the bid does not aim to cancel its listing or its securities registration.

Its investor-relations chief sounded less categorical. Antonio Tejedo Obregón told El Economista that delisting would need regulatory and corporate approvals and 12 to 18 months.

“If you have 95 or 100% of the shares,” he told the paper, staying public does not make much sense.

The notice itself warns of thinner trading after the offer. Holders who do not sell may struggle to influence decisions, and could later have to sell well below 13.18 pesos (about US$0.76).

How Pantera is paying

Pantera Holdings arranged financing secured by a pledge of Traxión shares, El CEO reported from the notice. The pledge covers all the shares held by Pantera’s own shareholders, plus any shares bought in the offer.

If the loan went into default, the lenders could exercise the voting rights or sell the shares, the notice says. That could cost Pantera’s shareholders and related parties their control of Traxión, though only after an actual default.

The lender is Banco Santander México, and its sister brokerage, Casa de Bolsa Santander, is running the offer. The notice acknowledges the brokerage could have an additional interest in the deal.

Pantera also says it received no independent opinion on whether the price is fair. According to the notice, the CNBV authorisation is neither a verdict on the price nor a recommendation to sell.

Why the founders are buying

Traxión runs freight trucking, technology-led logistics and passenger transport across Mexico. It listed in September 2017 at 17 pesos (about US$0.99) a share, El Cronista reported.

El Economista reported on 21 September that the shares were down 21.1% this year and 69.5% from their peak. It put the stock-exchange value at 6,690 million pesos (about US$388 million).

Book value, by the same report, was 14,304 million pesos (about US$830 million). Tejedo pointed to a strong peso, tariff uncertainty in trade with the United States and costlier diesel.

About 18% of revenue is paid in dollars, he said, and the margin has narrowed from about 20% to 14%. The company told El CEO it expects no significant recovery in the share price in the short term.

What shareholders should watch

At the end of 2025, Discovery Americas held 13.78% of Traxión and Nexxus Capital 6.59%, El CEO reported from the annual report. Controlling shareholders held 13.3%, and 65.8% was in public hands.

The intentions of the two funds have not been reported. The board’s opinion on the price, due within ten business days of the launch, is the next milestone.

The Traxión tender offer follows other recent Mexican bids for listed shares, El CEO noted. Transtelco Holding announced a plan for Axtel in early September, while Grupo Gicsa proposed one in April and dropped it in June.

Frequently Asked Questions

Who is behind the Traxión tender offer?

The bidder is Pantera Holdings, a company linked to Aby Lijtszain Chernizky, who co-founded Traxión and is its executive president and a shareholder. He disclosed the plan on 14 September 2026 without naming the vehicle. The name appeared in the formal offer notice published on 22 September 2026.

How much is Pantera offering?

It offers 13.18 pesos (about US$0.76) a share in cash for up to 542,382,858 shares. The maximum total is 7,148.6 million pesos (about US$415 million). The price is 20.4% above the average close of the 60 sessions before the plan was announced.

When can shareholders tender?

The offer opened on 22 September 2026 and runs until 20 October 2026, though it can be extended. Registration on the exchange is scheduled for 21 October and settlement for 23 October. Mexican tender offers are handled through brokerage accounts, so holders act through their broker.

Will Traxión be delisted?

The company says the offer does not aim to cancel its listing. Its investor-relations chief, Antonio Tejedo Obregón, told El Economista that remaining public makes little sense with 95% or 100% of the shares. He said any delisting would need separate approvals and 12 to 18 months.
